By using our website, submitting a form, booking a call, signing a proposal, paying an invoice, or using our services, you agree to these Terms.

2.Use of Our Website

You agree to use our website only for lawful purposes.

You agree not to:

  • Interfere with the security or function of the website
  • Attempt to gain unauthorized access to our systems
  • Copy, scrape, or reuse website content without written permission
  • Submit false, misleading, or harmful information
  • Use our website to send spam, malware, or abusive requests
  • Violate any law, rule, or third-party right

We may restrict or block access to our website at any time if we believe a user is misusing it.

The exact services, pricing, payment schedule, deliverables, timeline, and contract term are controlled by the signed proposal, statement of work, invoice, contract, or written agreement between you and Rize Digital.

If there is a conflict between these Terms and a signed client agreement, the signed client agreement controls for that specific engagement.

4.No Guaranteed Results

Marketing results vary.

Rize Digital does not guarantee:

  • First-page Google rankings
  • Specific keyword positions
  • Google Map Pack placement
  • A certain number of leads
  • A certain cost per lead
  • A certain return on ad spend
  • A certain number of phone calls
  • A certain number of sales
  • Google Business Profile approval, verification, reinstatement, or ranking
  • Approval from Google, Meta, Stripe, GoHighLevel, or any other third-party platform

Search engines, ad platforms, social platforms, review platforms, AI platforms, and business directories are controlled by third parties. Their rules, algorithms, approval systems, and review processes can change at any time.

We will make a good-faith effort to perform the agreed services in a professional manner, but no marketing agency can guarantee exact outcomes.

5.Client Responsibilities

You agree to provide accurate, complete, and timely information needed for us to perform the services.

This may include:

  • Business name, address, phone number, service area
  • Website, hosting, and domain access
  • Google account, Business Profile, Analytics, Search Console, and Ads access
  • CRM access
  • Brand assets, photos, service details, pricing, and offers
  • Business licensing details where applicable

You are responsible for reviewing and approving content, offers, ads, claims, service information, pricing, and business details before publication.

You confirm that you have the right to provide us with any account access, customer data, photos, videos, logos, testimonials, case studies, reviews, or business information you send to us.

6.Account Access and Security

To perform services, we may request access to third-party platforms, including Google, Meta, GoHighLevel, WordPress, Vercel, domain registrars, hosting accounts, analytics tools, CRM systems, call tracking systems, payment tools, and other software.

You agree to grant only the access needed for the service. You may revoke access after services end.

You remain responsible for the security of your own accounts, passwords, users, permissions, billing settings, and platform activity.

Rize Digital is not responsible for losses caused by weak passwords, shared credentials, unauthorized users, expired payment methods, platform lockouts, hacked accounts, or access changes outside our control.

7.Google Business Profile Services

If Rize Digital manages or supports your Google Business Profile, you authorize us to act on your behalf for approved profile management tasks.

These tasks may include:

  • Updating business information, service areas, and hours
  • Adding services and photos
  • Publishing posts
  • Monitoring reviews
  • Drafting or posting review replies
  • Reviewing profile performance
  • Helping with verification or support requests
  • Advising on compliance issues

You remain the owner or authorized representative of the Google Business Profile.

You are responsible for the truth and accuracy of all business information submitted to Google.

Rize Digital does not guarantee Google Business Profile approval, verification, reinstatement, ranking, visibility, review removal, or support outcomes.

8.Advertising Services

If we manage advertising campaigns, you understand that ad performance can be affected by:

  • Budget, competition, and location
  • Seasonality and market demand
  • Landing page quality and offer strength
  • Sales process and brand reputation
  • Tracking setup
  • Platform review systems

Unless a signed agreement says otherwise, ad spend is separate from Rize Digital's management fee and is paid directly by you to the advertising platform.

You are responsible for reviewing all offers, claims, prices, guarantees, promotions, and disclaimers used in ads or landing pages.

We are not responsible for account suspensions, disapproved ads, policy reviews, billing problems, or platform issues caused by third-party systems or client-provided information.

9.Website Services

If we build, edit, host, or manage a website for you, the exact ownership and transfer terms are controlled by your signed agreement.

Unless stated otherwise in writing:

  • You are responsible for providing accurate business information
  • You are responsible for approving website content before launch
  • You are responsible for legal compliance of claims, offers, pricing, terms, privacy notices, and industry disclosures
  • Third-party costs such as domains, hosting, plugins, software, stock assets, fonts, and paid integrations may be billed separately
  • Website timelines can change if content, access, approvals, or feedback are delayed

We are not responsible for outages, bugs, slowdowns, security issues, or service interruptions caused by third-party hosting companies, plugins, themes, integrations, DNS providers, domain registrars, or software vendors.

10.Content, Copy, and SEO Materials

Rize Digital may create website copy, landing page copy, blog posts, service pages, ad copy, social posts, reports, SEO recommendations, metadata, schema, images, graphics, and related materials.

You are responsible for reviewing content before publication.

You agree that all factual claims, pricing, guarantees, qualifications, licensing statements, insurance statements, certifications, awards, testimonials, and business claims must be accurate.

We may use AI-assisted tools, SEO tools, content tools, analytics tools, and research tools as part of our workflow. Final publication still requires client review where approval is part of the agreed process.

11.Testimonials, Case Studies, and Results

If you provide testimonials, reviews, screenshots, call recordings, lead data, ranking data, revenue data, or other results, you confirm that the information is truthful and that you have the right to share it.

We may request permission to use your name, business name, logo, testimonial, project screenshots, website screenshots, performance metrics, or case study information in our marketing.

We will not publish private client data as a case study without permission.

Testimonials and case studies reflect specific client experiences. They do not guarantee that every client will get the same result.

12.Payments

You agree to pay all fees listed in your proposal, invoice, agreement, or payment plan.

Unless stated otherwise in writing:

  • Payments are due on the date listed on the invoice
  • Recurring payments are billed according to the agreed schedule
  • Setup fees are due before work begins
  • Monthly service fees are due in advance
  • Late payments may delay work
  • Failed payments may pause service
  • Past-due balances must be paid before service resumes

Rize Digital may use third-party payment processors. Payment processor terms and fees may apply.

13.Late Payments and Service Pauses

If payment is late, failed, disputed, reversed, or unpaid, Rize Digital may pause work, pause campaigns, restrict access, delay deliverables, or suspend service until the account is current.

You remain responsible for amounts owed under the signed agreement, proposal, invoice, or payment plan.

Service pauses caused by non-payment do not extend deadlines, guarantee lost performance recovery, or remove payment duties.

14.Refunds and Cancellations

Refund and cancellation terms are controlled by your signed agreement.

Unless stated otherwise in writing:

  • Setup fees are non-refundable once work has started
  • Monthly service fees are non-refundable after the billing period begins
  • Ad spend paid to third-party platforms is non-refundable through Rize Digital
  • Custom work, completed work, strategy work, and delivered assets are non-refundable
  • Cancellation does not remove responsibility for unpaid invoices, signed contract terms, or approved payment plans

15.Chargebacks and Payment Disputes

If you believe there is a billing issue, contact us at info@rizedigital.io before filing a chargeback.

If you file a chargeback or payment dispute for valid services, we may pause or terminate services, restrict access to work product, and provide documentation to the payment processor.

You agree to pay reasonable collection costs, chargeback fees, legal fees, and related costs where allowed by law if we must collect unpaid amounts.

16.Intellectual Property

Rize Digital owns all pre-existing materials, systems, templates, frameworks, processes, prompts, code libraries, internal tools, reports, SOPs, strategy documents, and know-how used to provide services.

Client-owned materials remain owned by the client.

Final ownership of custom website files, creative assets, copy, or deliverables is controlled by the signed agreement.

Unless stated otherwise in writing, you may use completed and paid-for deliverables for your own business after full payment has been received.

You may not resell, license, copy, distribute, or reuse Rize Digital's internal systems, templates, strategy documents, workflows, prompts, code, or reports outside your business without written permission.

17.Third-Party Tools and Platforms

Our services may rely on third-party tools and platforms, including Google, Meta, GoHighLevel, Stripe, Calendly, Vercel, WordPress, analytics tools, SEO tools, CRM tools, hosting providers, domain registrars, call tracking tools, email tools, SMS tools, automation tools, and reporting tools.

We do not control third-party platforms.

Rize Digital is not responsible for:

  • Platform outages
  • Account suspensions
  • Policy changes
  • Billing changes
  • API changes
  • Data delays
  • Tracking errors
  • Integration failures
  • Lost access
  • Software bugs or service limitations
  • Changes made by third-party vendors

Your use of third-party platforms may be subject to their own terms, policies, and fees.

18.Email, SMS, and Marketing Communications

By submitting a form, booking a call, signing up, or becoming a client, you agree that Rize Digital may contact you by email, phone, text message, or other communication methods related to your inquiry, services, invoices, proposals, contracts, account, or marketing.

You can opt out of marketing emails through the unsubscribe link. You can opt out of marketing text messages by replying STOP.

Transactional communications related to active services, billing, contracts, security, or account matters may still be sent where allowed by law.

19.Confidential Information

During a client relationship, each party may receive confidential information from the other party.

Confidential information may include:

  • Login details
  • Business plans and pricing
  • Customer and sales data
  • Ad and financial data
  • Internal processes and strategy documents
  • Private communications
  • Non-public technical details

Each party agrees to use reasonable care to protect confidential information and use it only for the purpose of the business relationship.

Confidential information does not include information that is public, already known, independently developed, or received from another lawful source.

20.Data and Privacy

Your use of our website and services is also governed by our Privacy Policy.

If you provide customer data, lead data, call data, CRM data, or other personal information to Rize Digital, you confirm that you have the right to provide that information and that your own business complies with applicable privacy laws.

21.Prohibited Uses

You agree not to use our services for:

  • Illegal activity or fraud
  • Misleading advertising or false claims
  • Spam, harassment, or malware
  • Phishing or unauthorized data collection
  • Fake reviews or review gating
  • Deceptive lead generation or impersonation
  • Infringing another party's rights
  • Violating platform policies

We may refuse, pause, or terminate work if we believe the requested work is unlawful, deceptive, abusive, or likely to violate a third-party platform policy.

22.Service Changes

We may update, modify, pause, replace, or discontinue any website feature, service package, software workflow, tool, report, or internal process at any time.

For active clients, material service changes will be handled according to the signed agreement or written communication between the parties.

23.Termination

Rize Digital may terminate or pause services if:

  • You fail to pay
  • You breach these Terms or a signed agreement
  • You provide false or misleading information
  • You request unlawful or deceptive work
  • You misuse our systems or services
  • You create safety, legal, payment, or platform risk
  • The working relationship becomes abusive or unworkable

Termination does not remove unpaid balances or duties that survive the end of the relationship.

24.Disclaimer of Warranties

Our website and services are provided on an "as available" basis.

To the fullest extent allowed by law, Rize Digital disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not promise that our website, services, reports, tools, recommendations, integrations, tracking, or third-party platforms will be error-free, uninterrupted, secure, or produce a specific result.

25.Limitation of Liability

To the fullest extent allowed by law, Rize Digital LLC will not be liable for indirect, incidental, special, consequential, punitive, or lost-profit damages.

This includes damages related to:

  • Lost revenue, leads, rankings, or traffic
  • Lost data or business opportunities
  • Ad account issues or platform suspensions
  • Website downtime or third-party tool failures
  • Search engine updates
  • Tracking errors or client sales process issues

To the fullest extent allowed by law, Rize Digital's total liability for any claim will not exceed the amount you paid to Rize Digital for the specific service giving rise to the claim during the three months before the claim.

26.Indemnification

You agree to defend, indemnify, and hold harmless Rize Digital LLC, its owners, employees, contractors, vendors, and agents from claims, damages, losses, liabilities, costs, and expenses arising from:

  • Your breach of these Terms or a signed agreement
  • Your business operations, products, or services
  • Your customer disputes
  • Your unlawful or misleading claims
  • Your content, photos, videos, testimonials, or business information
  • Your failure to comply with laws or platform policies
  • Your misuse of our website, services, or deliverables

27.Governing Law

These Terms are governed by the laws of the State of Connecticut, without regard to conflict of law rules.

Any dispute will be handled in the state or federal courts located in Connecticut, unless a signed agreement states a different forum or dispute process.

28.Changes to These Terms

We may update these Terms from time to time.

When we update them, we will change the "Last Updated" date at the top of this page.

Your continued use of our website or services after updated Terms are posted means you accept the updated Terms.
